1. Acceptance of Terms

By accessing or using the Shok-IS platform ("Service"), you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of a company, you represent that you have authority to bind that company. If you do not agree to these terms, you may not use the Service.

2. Description of Services

AURA OPERATIONS LTD provides a predictive intelligence API platform, including model inference, webhook infrastructure, developer tools, and associated services ("Service"). The Service is provided on a subscription basis as described in the applicable order form or pricing page.

We reserve the right to modify, suspend, or discontinue any aspect of the Service with 30 days' notice, except in cases of emergency security issues where immediate action may be required.

3. Accounts and Security

You are responsible for maintaining the confidentiality of your API keys and account credentials. You must notify us immediately at contact@shok-intelligence.com if you suspect any unauthorised access to your account.

You may not share, transfer, or sublicense your API keys to third parties. Each API key is bound to a single workspace and billing entity.

4. Acceptable Use

You agree not to use the Service to:

  • Process data in violation of any applicable law, including GDPR, UK GDPR, or the Computer Misuse Act 1990
  • Attempt to reverse-engineer, decompile, or extract model weights or intellectual property
  • Conduct automated scraping, denial-of-service attacks, or other abusive API usage patterns
  • Build competing products using Shok-IS infrastructure without prior written consent
  • Process special category personal data (as defined under UK GDPR Art. 9) without a signed DPA

5. Payment Terms

Subscription fees are billed in advance on a monthly or annual basis. All prices are in GBP and exclusive of VAT. VAT will be applied at the applicable UK rate.

Overage charges (requests exceeding your plan quota) are billed in arrears at the end of each billing period at the rate specified in your plan documentation.

Failure to pay within 14 days of the due date may result in suspension of your account. We will provide 7 days' notice before suspension.

6. Intellectual Property

AURA OPERATIONS LTD retains all intellectual property rights in the Service, including all software, models, documentation, and trademarks. Nothing in these Terms grants you any rights in our intellectual property except as explicitly set out herein.

You retain all rights to the data you submit to the Service ("Customer Data"). You grant us a limited licence to process Customer Data solely for the purpose of providing the Service to you.

7. Limitation of Liability

To the maximum extent permitted by English law, AURA OPERATIONS LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

Our total aggregate liability for any claim arising out of or relating to these Terms shall not exceed the greater of (a) £500 or (b) the fees paid by you in the 12 months preceding the claim.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

8. Termination

You may cancel your subscription at any time via your account dashboard. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.

We may terminate your access immediately if you materially breach these Terms and fail to remedy the breach within 14 days of written notice.

9. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

For EU customers, nothing in this clause affects your statutory rights as a consumer under applicable EU law.
